Stat. tit. 36, § 36-2106","heading":"Corporate powers granted; general powers and duties","body":"Every corporation organized under the provisions of this act\n\nmay, in its corporate name, sue and be sued; and shall have power to\n\nmake contracts of insurance, indemnity or suretyship with any\n\nperson, government or governmental agency, state or political\n\nsubdivision thereof, public or private corporation, board,\n\nassociation, firm, estate, trustee or fiduciary in this state or\n\nelsewhere; to prescribe the qualifications and the manner and form\n\nof the admission or withdrawal of members; to have and use a common\n\nseal which may be changed or altered at pleasure; to be capable in\n\nits corporate name, or in the name of trustee chosen by the board of\n\ndirectors, to take, purchase, lease, hold and dispose of real or\n\npersonal property for carrying into effect the purpose of the\n\ncorporation; to make all necessary rules and regulations concerning\n\nthe hazards incurred, the premium rates to be used, and adjustment\n\nand payment of losses; to fix the compensation of its directors and\n\nofficers and require bond for the faithful performance of their\n\nduties; to exercise all such other powers as may be necessary to\n\neffect the object of such corporation, subject to the restrictions\n\nherein provided; to make or amend bylaws not inconsistent with law\n\nor the provisions of the articles of association, which bylaws shall\n\nfix the date and place of the annual meeting of members, shall\n\ndesignate the number of directors, which shall be not less than\n\nfive, define the duties of the officers and fix the term of office\n\nof the directors and officers of such company, and make all further\n\nnecessary provisions concerning the conduct of its business or\n\naffairs.","path":["OK Code","Title 36"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os36.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"6086f9ccbebb9c4d83c32dcae02bfcfa167d0729c508e15b342c011c86e3b8a7","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-36-36-2105","next":"us-ok/okla.-stat.-tit.-36-36-2107"},"notice":"GroundRules: Original legal text.
