Stat. tit. 36, § 36-2502","heading":"Designation as corporators; articles of agreement;","body":"contents; approval by insurance commissioner; filing and recording.\n\nThe persons mentioned in Section 2501 shall be designated as\n\ncorporators, and such persons shall associate themselves by articles\n\nof agreement in writing, duly signed and acknowledged, setting\n\nforth:\n\nFirst: The corporate name of the proposed corporation, which\n\nshall not be the name of any corporation heretofore incorporated or\n\ndoing business in this state for similar purposes, or any such\n\nimitation of such name calculated to mislead the public.\n\nSecond: The name of the city, town or county in which the\n\nprincipal office is located.\n\nThird: The amount of the capital stock of the corporation,\n\nwhich shall not be less than Fifty Thousand Dollars ($50,000.00),\n\nthe number of shares into which it is divided, and the par value\n\nthereof, that the same has been bona fide subscribed, and actually\n\npaid up in lawful money of the United States, and is in the custody\n\nof persons named as the first board of directors, the name and place\n\nof the several shareholders and the number of shares subscribed by\n\neach.\n\nFourth: The number of the board of directors or managers, which\n\nshall be not less than five, their powers and duties, and the names\n\nagreed upon for the first year.\n\nFifth: The number of years the corporation is to continue.\n\nSixth: A statement that the company is formed for the purpose\n\nof carrying on the business of insurance under the provisions of\n\nthis article. Said articles of agreement shall be submitted to the\n\nInsurance Commissioner, and if they are found to comply with the\n\nprovisions of this article, he shall approve the same.
