Stat. tit. 36, § 36-2511","heading":"Existing corporations; amendments of articles of","body":"incorporation; effect of reincorporation.\n\nAny domestic life or accident and health corporation, company or\n\nassociation existing or doing business in this state on April 9,\n\n1923, may, by the vote of a majority of its board of directors or\n\ntrustees, accept the provisions of this article and amend its\n\narticles of incorporation to conform to the same, so as to cover and\n\nenjoy any and all the provisions and privileges of this article the\n\nsame as if it had been originally incorporated thereunder, and it\n\nshall file such amended articles of incorporation in the office of\n\nthe Secretary of State, a certified copy of which shall be filed\n\nwith the Insurance Commissioner, and shall thereafter perpetually\n\nenjoy the same and be deemed to have been incorporated under this\n\narticle. Reincorporation, however, shall in no way annul, modify or\n\nchange any of the existing contracts and liabilities of such\n\ncorporation, company or association, and any and all such contracts\n\nand liabilities shall continue in force and effect the same as\n\nthough such corporation had not reincorporated or qualified under\n\nthis article, neither shall such reincorporation in any way\n\nprejudice, impede or impair any pending action or proceeding or any\n\nrights previously acquired.","path":["OK Code","Title 36"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os36.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"03ecfb654bd685151e72bb4d03a4402b0b3448a76695a4327d4824fe2bc16fe2","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-36-36-2510","next":"us-ok/okla.-stat.-tit.-36-36-2512"},"notice":"GroundRules: Original legal text.
