Stat. tit. 36, § 36-2512","heading":"Amendment of articles of incorporation to conform to","body":"general insurance law.\n\nAny domestic life or accident and health insurance corporation,\n\ncompany or association existing or doing business in this state\n\nunder the stipulated premium plan law on April 9, 1923, may, by\n\nmajority vote of its board of directors or trustees, accept the\n\nprovisions of this article, the same as if it had originally been\n\nincorporated thereunder, and shall submit a record of the\n\nproceedings of its board of directors or trustees, together with the\n\namended articles, to the Insurance Commissioner, for his examination\n\nand approval of the legal form thereof, and shall file such amended\n\narticles in the office of the Secretary of State and a certified\n\ncopy of same in the office of the Insurance Commissioner, and\n\ndeposit with the State Treasurer such securities as may be required\n\nof corporations originally incorporated under this article.\n\nInsurance corporations, companies and associations complying with\n\nthe provisions of this section shall thereafter enjoy and exercise\n\nall of the rights and privileges accorded by law to companies\n\noriginally incorporated under this article. Compliance with this\n\nsection shall in nowise annul, modify or change any of the existing\n\ncontracts or obligations of the corporation, and any and all such\n\ncontracts and liabilities shall continue in force and effect the\n\nsame as if such corporation had not reincorporated under the\n\nprovisions of this section.
