Stat. tit. 36, § 36-2679","heading":"Participating dentists as members; meetings; officers","body":"Every participating dentist under contract with a dental service\n\ncorporation created under this Article shall be a member of such\n\ncorporation. Annually the members in person or by proxy shall meet\n\nto conduct the business of the corporation. At each such annual\n\nmeeting, or at any special meeting properly called as provided for\n\nin the bylaws of the corporation, each person who is a member shall\n\nhave one vote and may exercise the privilege of voting on all\n\nmatters brought before the membership. A simple majority of the\n\nvotes cast shall be sufficient to carry all matters brought before\n\nthe membership. If a majority of the directors at any time so\n\ndecides, a matter may be submitted to a special meeting of the\n\nmembers of the corporation following such procedure as the\n\ncorporation may provide for in its bylaws. At each annual meeting,\n\nthe members shall vote to elect one-third (1/3) of the directors of\n\nthe corporation. The directors shall be elected for terms of three\n\n(3) years in office.
