Stat. tit. 36, § 36-2703.1","heading":"Representative form of government defined","body":"A society has a representative form of government when:\n\n1. It has a supreme governing body constituted in one of the\n\nfollowing ways:\n\na. Assembly. The supreme governing body is an assembly\n\ncomposed of delegates elected directly by the members\n\nor at intermediate assemblies or conventions of\n\nmembers or their representatives, together with other\n\ndelegates as may be prescribed in the society's laws.\n\nA society may provide for election of delegates by\n\nmail. The elected delegates shall constitute a\n\nmajority in number and shall not have less than two-\n\nthirds (2/3) of the votes and not less than the number\n\nof votes required to amend the society's laws. The\n\nassembly shall be elected and shall meet at least once\n\nevery four (4) years and shall elect a board of\n\ndirectors to conduct the business of the society\n\nbetween meetings of the assembly. Vacancies on the\n\nboard of directors between elections may be filled in\n\nthe manner prescribed by the society's laws, or\n\nb. Direct Election. The supreme governing body is a\n\nboard composed of persons elected by the members,\n\neither directly or by their representatives in\n\nintermediate assemblies, and any other persons\n\nprescribed in the society's laws. A society may\n\nprovide for election of the board by mail. Each term\n\nof a board member may not exceed four (4) years.\n\nVacancies on the board between elections may be filled\n\nin the manner prescribed by the society's laws. Those\n\npersons elected to the board shall constitute a\n\nmajority in number and not less than the number of\n\nvotes required to amend the society's laws. A person\n\nfilling the unexpired term of an elected board member\n\nshall be considered to be an elected member. The\n\nboard shall meet at least quarterly to conduct the\n\nbusiness of the society;\n\n2. The officers of the society are elected either by the\n\nsupreme governing body or by the board of directors;\n\n3. Only benefit members are eligible for election to the\n\nsupreme governing body, the board of directors or any intermediate\n\nassembly; and\n\n4.
