The business and functions of the Association shall be\n\nmanaged and administered by a Board of eight (8) directors composed\n\nof four directors representing Association members, two directors\n\nwho are representatives of Oklahoma domestic insurers who are\n\nAssociation members, one director who represents a surplus lines\n\ncarrier who is an Association member, and the Oklahoma Insurance\n\nCommissioner or an Oklahoma Insurance Department staff member chosen\n\nas a designee by the Oklahoma Insurance Commissioner. Each director\n\nshall designate a full-time salaried employee of the insurer to\n\nrepresent the director as an alternate in the absence of the\n\ndirector on the Board. The term of office of each director shall\n\ncontinue until the appointment and qualification of a successor.\n\nAny vacancy on the Board shall be filled for the remaining period of\n\nthe term by the remaining Board directors.\n\nB. The chairman shall call all meetings of the Board and shall\n\ngive reasonable notice of meetings to all directors. At any meeting\n\nof the Board, each Board director or his predesignated alternate\n\nshall have one vote. Six members of the Board or their\n\npredesignated alternates shall constitute a quorum for the\n\ntransaction of business and the acts of a majority of the Board\n\nmembers present at a meeting at which a quorum is present shall be\n\nthe acts of the Board. The Board shall meet as often as may be\n\nrequired to perform the general duties of administration of the\n\nAssociation, but not less frequently than annually.\n\nC. In approving selections to the Board, the Board of Directors\n\nshall consider, among other things, whether all Association member\n\ninsurers are fairly represented.\n\nD.
