A converting company, on approval by the Oklahoma Insurance\n\nCommissioner, may reorganize by forming a holding company based on a\n\nmutual plan and continuing the corporate existence of the converting\n\ncompany as a stock insurance company.\n\nB. A mutual holding company is automatically a party to an\n\nadministrative proceeding under Oklahoma Statute involving an\n\ninsurance company that, as a result of a reorganization under this\n\nact, is a subsidiary of the mutual holding company. In a proceeding\n\ninvolving the resulting company, the assets of the mutual holding\n\ncompany are considered assets of the resulting company for purposes\n\nof satisfying the claims of the resulting company's policyholders.\n\nC. A mutual holding company may not dissolve or liquidate\n\nwithout the approval of the Commissioner.\n\nD.
