The Oklahoma Lottery Commission shall be governed by a board\n\nof trustees composed of seven (7) members to be appointed by the\n\nGovernor with the advice and consent of the Senate. Not more than\n\ntwo members shall be appointed from any single congressional\n\ndistrict.\n\nB. Members shall be residents of the State of Oklahoma, shall\n\nbe prominent persons in their businesses or professions, and shall\n\nnot have been convicted of any felony offense, and shall not be\n\nawaiting sentencing on a plea of guilt or nolo contendere to a\n\nfelony offense. At least one member of the board shall be engaged\n\nin the practice of law, at least one member shall be engaged in the\n\npractice of accounting, and at least one member shall have expertise\n\nin marketing.\n\nC. Members shall serve terms of five (5) years. Any vacancy\n\noccurring on the board shall be filled by the Governor by\n\nappointment with the advice and consent of the Senate for the\n\nremainder of the unexpired term.\n\nD. Members of the board shall not have any direct or indirect\n\ninterest in an undertaking that puts their personal interest in\n\nconflict with that of the Commission, including, but not limited to,\n\nan interest in a major procurement contract or a participating\n\nretailer.\n\nE. Members of the board shall be reimbursed for travel expenses\n\npursuant to the State Travel Reimbursement Act.\n\nF. The members shall elect from their membership a chair, vice-\n\nchair, secretary, and treasurer. Such officers shall serve for such\n\nterms as shall be prescribed by the rules of the Commission or until\n\ntheir respective successors are elected and qualified. No member of\n\nthe board shall hold more than any one office of the Commission at\n\nthe same time, except that the same person may serve as secretary\n\nand treasurer.\n\nG. The board of trustees shall employ an executive director of\n\nthe Commission.\n\nH. A majority of members in office shall constitute a quorum\n\nfor the transaction of any business and for the exercise of any\n\npower or function of the Commission.\n\nI. All meetings of the board shall be subject to the Oklahoma\n\nOpen Meeting Act. Action may be taken and motions and resolutions\n\nadopted by the board at any meeting thereof by the affirmative vote\n\nof a majority of present and voting board members.\n\nJ.
