All of the following conditions shall apply to a proposed\n\nsale of the business assets, transfer of the stock, or other\n\ntransaction that will result in a change of ownership of a dealer,\n\nexcept a transaction described in subsection B of this section:\n\n1. The dealer shall provide written notice to the manufacturer\n\nat least ninety (90) days prior to the proposed closing of the\n\ntransaction;\n\n2. If the dealer is not in breach of the dealer agreement or in\n\nviolation of the provisions of the Recreational Vehicle Franchise\n\nAct at the time the dealer provides the notice described in\n\nparagraph 1 of this subsection, the manufacturer shall not object to\n\nthe proposed transaction, unless the prospective transferee meets\n\none or more of the following:\n\na. the prospective transferee was previously a party to a\n\ndealer agreement with the manufacturer that the\n\nmanufacturer terminated,\n\nb. in the preceding ten (10) years, the prospective\n\ntransferee was convicted of a felony crime or any\n\ncrime of fraud, deceit, or moral turpitude,\n\nc. the prospective transferee does not have an\n\napplication for a recreational vehicle dealer license\n\npending with the Oklahoma New Motor Vehicle Commission\n\nor a tentative dealer agreement with a recreational\n\nvehicle manufacturer to conduct business as a dealer\n\nin this state,\n\nd. the prospective transferee does not have an active\n\nline of credit sufficient to purchase recreational\n\nvehicles from the manufacturer according to the terms\n\nof the dealer agreement, or\n\ne. in the preceding ten (10) years, the prospective\n\ntransferee was bankrupt or insolvent, made a general\n\nassignment for the benefit of creditors, or a\n\nreceiver, trustee, or conservator was appointed to\n\ntake possession of the business or property of the\n\nprospective transferee;\n\n3. If the manufacturer objects to the proposed transaction, the\n\nmanufacturer shall give written notice of an objection, including\n\nthe reasons by the manufacturer for objecting, to the dealer within\n\nthirty (30) days after receiving the notice described in paragraph 1\n\nof this subsection. If the manufacturer does not give notice of an\n\nobjection within the thirty-day time period, the proposed\n\ntransaction shall be considered approved by the manufacturer; and\n\n4. For purposes of paragraph 3 of this subsection, the\n\nmanufacturer has the burden of demonstrating why the manufacturer\n\nobjects to the proposed transaction.\n\nB. All of the following conditions apply concerning the death,\n\nincapacity, or retirement of the designated principal of a dealer:\n\n1. The manufacturer shall provide the dealer an opportunity to\n\ndesignate, in writing, a family member as a successor to the dealer\n\nin the event of the death, incapacity, or retirement of the\n\ndesignated principal;\n\n2. The manufacturer shall not prevent or refuse to honor the\n\nsuccession to a dealership by a family member of the deceased,\n\nincapacitated, or retired designated principal of that dealer unless\n\nthe manufacturer previously provided written notice to the dealer of\n\nany objections to the succession plan of the dealer within thirty\nthe death, incapacity, or retirement of the\n\ndesignated principal;\n\n2. The manufacturer shall not prevent or refuse to honor the\n\nsuccession to a dealership by a family member of the deceased,\n\nincapacitated, or retired designated principal of that dealer unless\n\nthe manufacturer previously provided written notice to the dealer of\n\nany objections to the succession plan of the dealer within thirty\n\n(30) days after receiving the succession plan of the dealer or any\n\nmodification of the succession plan of the dealer;\n\n3. Except as provided in paragraph 5 of this subsection, unless\n\nthe dealer is in breach of the dealer agreement, a manufacturer\n\nshall not object to the succession to a dealership by a family\n\nmember of the deceased, incapacitated, or retired designated\n\nprincipal, unless the successor meets one or more of the following:\n\na. in the preceding ten (10) years, the successor was\n\nconvicted of a felony crime or any crime of fraud,\n\ndeceit, or moral turpitude,\n\nb. in the preceding ten (10) years, the successor was\n\nbankrupt, insolvent, or made an assignment for the\n\nbenefit of creditors,\n\nc. the successor was previously a party to a dealer\n\nagreement with the manufacturer that the manufacturer\n\nterminated for a breach of a dealer agreement,\n\nd. the successor does not have an active line of credit\n\nsufficient to purchase recreational vehicles from the\n\nmanufacturer according to the terms of the dealer\n\nagreement, or\n\ne. the successor does not have an application for a\n\nrecreational vehicle dealer license pending with the\n\nCommission or a tentative dealer agreement with a\n\nrecreational vehicle manufacturer to conduct business\n\nas a dealer in this state;\n\n4. The manufacturer has the burden of proof regarding any\n\nobjection to the succession to a dealership by a family member of\n\nthe deceased, incapacitated, or retired designated principal; and\n\n5.
