Stat. tit. 54, § 54-1-1001","heading":"Nature and purpose - Statement of qualification","body":"Nature and Purpose; Statement of Qualification.\n\n(a) A limited liability partnership is a partnership under the\n\nlaws of this state and may engage in any business in this state in\n\nwhich a partnership may engage including, but not limited to, the\n\nrendering of professional services as defined in paragraph 6 of\n\nsubsection A of Section 803 of Title 18 of the Oklahoma Statutes or\n\nthe rendering of related professional services as defined in\n\nparagraph 7 of subsection A of Section 803 of Title 18 of the\n\nOklahoma Statutes.\n\n(b) A partnership may become a limited liability partnership\n\npursuant to this section.\n\n(c) The terms and conditions on which a partnership becomes a\n\nlimited liability partnership must be approved by the vote necessary\n\nto amend the partnership agreement except, in the case of a\n\npartnership agreement that expressly considers obligations to\n\ncontribute to the partnership, by the vote necessary to amend those\n\nprovisions.\n\n(d) After the approval required by subsection (c) of this\n\nsection, a partnership may become a limited liability partnership by\n\nfiling a statement of qualification with the Secretary of State.\n\nThe statement must contain:\n\n(1) the name of the partnership;\n\n(2) the street address of the partnership's chief executive\n\noffice and, if different, the street address of an office of the\n\npartnership in this state, if any;\n\n(3) if the partnership does not have an office in this state,\n\nthe name and street address of the partnership's agent for service\n\nof process;\n\n(4) a statement that the partnership elects to be a limited\n\nliability partnership; and\n\n(5) a deferred effective date, if any.\n\n(e) The agent of a limited liability partnership for service of\n\nprocess must be an individual resident of this state, a domestic\n\ncorporation, limited liability company, limited partnership, or\n\nlimited liability partnership; or a foreign corporation, limited\n\nliability company, limited partnership, or limited liability\n\npartnership having a place of business and authorized to do business\n\nin this state.\n\n(f) The status of a partnership as a limited liability\n\npartnership is effective on the later of the filing of the statement\n\nor a date specified in the statement. The status remains effective,\n\nregardless of changes in the partnership, until it is canceled\n\npursuant to subsection (d) of Section 1-105 of this title. A\n\nstatement of dissolution filed under Section 1-805 of this title\n\neffects a cancellation upon completion of the partnership’s winding\n\nup. For purposes of this subsection (f) of this section only, the\n\nwinding up is presumed to be complete on the first anniversary of\n\nthe filing of the statement of dissolution, which may be rebutted by\n\nthe prior filing of a statement indicating that the partnership is\n\ncontinuing.\n\n(g) The status of a partnership as a limited liability\n\npartnership and the liability of its partners is not affected by\n\nerrors or later changes in the information required to be contained\n\nin the statement of qualification under subsection (c) of this\n\nsection.\n\n(h) The filing of a statement of qualification establishes that\n\na partnership has satisfied all conditions precedent to the\n\nqualification of the partnership as a limited liability partnership.\n\n(i) An amendment or cancellation of a statement of\n\nqualification is effective when it is filed or on a deferred\n\neffective date specified in the amendment or cancellation.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"d16c17ce647e822fe66906b1dfafdcaab526627cc71f91271800de65d0e706ca","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-100","next":"us-ok/okla.-stat.-tit.-54-54-1-1002"},"notice":"GroundRules: Original legal text.
