(a) A person knows a fact if the person\n\nhas actual knowledge of it.\n\n(b) A person has notice of a fact if the person:\n\n(1) knows of it;\n\n(2) has received a notification of it; or\n\n(3) has reason to know it exists from all of the facts known to\n\nthe person at the time in question.\n\n(c) A person notifies or gives a notification to another by\n\ntaking steps reasonably required to inform the other person in\n\nordinary course, whether or not the other person learns of it.\n\n(d) A person receives a notification when the notification:\n\n(1) comes to the person's attention; or\n\n(2) is duly delivered at the person's place of business or at\n\nany other place held out by the person as a place for receiving\n\ncommunications.\n\n(e) Except as otherwise provided in subsection (f) of this\n\nsection, a person other than an individual knows, has notice, or\n\nreceives a notification of a fact for purposes of a particular\n\ntransaction when the individual conducting the transaction knows,\n\nhas notice, or receives a notification of the fact, or in any event\n\nwhen the fact would have been brought to the individual's attention\n\nif the person had exercised reasonable diligence. The person\n\nexercises reasonable diligence if it maintains reasonable routines\n\nfor communicating significant information to the individual\n\nconducting the transaction and there is reasonable compliance with\n\nthe routines. Reasonable diligence does not require an individual\n\nacting for the person to communicate information unless the\n\ncommunication is part of the individual's regular duties or the\n\nindividual has reason to know of the transaction and that the\n\ntransaction would be materially affected by the information.\n\n(f) A partner's knowledge, notice, or receipt of a notification\n\nof a fact relating to the partnership is effective immediately as\n\nknowledge of, notice to, or receipt of a notification by the\n\npartnership, except in the case of a fraud on the partnership\n\ncommitted by or with the consent of that partner.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"dbd443653a1766208f59d9cdb0c559aaf8fad3563191b7e1dc4a23fd802c5c7d","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-101","next":"us-ok/okla.-stat.-tit.-54-54-1-103"},"notice":"GroundRules: Original legal text.
