(a)\n\nActivities of a foreign limited liability partnership which do not\n\nconstitute transacting business for the purpose of this article\n\ninclude:\n\n(1) maintaining, defending, or settling an action or\n\nproceeding;\n\n(2) holding meetings of its partners or carrying on any other\n\nactivity concerning its internal affairs;\n\n(3) maintaining bank accounts;\n\n(4) maintaining offices or agencies for the transfer, exchange,\n\nand registration of the partnership's own securities or maintaining\n\ntrustees or depositories with respect to those securities;\n\n(5) selling through independent contractors;\n\n(6) soliciting or obtaining orders, whether by mail or through\n\nemployees or agents or otherwise, if the orders require acceptance\n\noutside this state before they become contracts;\n\n(7) creating or acquiring indebtedness, with or without a\n\nmortgage, or other security interest in property;\n\n(8) collecting debts or foreclosing mortgages or other security\n\ninterests in property securing the debts, and holding, protecting,\n\nand maintaining property so acquired;\n\n(9) conducting an isolated transaction that is completed within\n\nthirty (30) days and is not one in the course of similar\n\ntransactions; and\n\n(10) transacting business in interstate commerce.\n\n(b) For purposes of this article, the ownership in this state\n\nof income-producing real property or tangible personal property,\n\nother than property excluded under subsection (a) of this section,\n\nconstitutes transacting business in this state.\n\n(c) This section does not apply in determining the contacts or\n\nactivities that may subject a foreign limited liability partnership\n\nto service of process, taxation, or regulation under any other law\n\nof this state.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"11b5c68937995d872fe9038349810f20b18a7711472e3e432975682f3113aa05","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-1103","next":"us-ok/okla.-stat.-tit.-54-54-1-1105"},"notice":"GroundRules: Original legal text.
