(a) Except as otherwise provided in\n\nsubsection (b) of this section, the association of two or more\n\npersons to carry on as co-owners a business for profit forms a\n\npartnership, whether or not the persons intend to form a\n\npartnership.\n\n(b) An association formed under a statute other than this act,\n\na predecessor statute, or a comparable statute of another\n\njurisdiction is not a partnership under this act.\n\n(c) In determining whether a partnership is formed, the\n\nfollowing rules apply:\n\n(1) Joint tenancy, tenancy in common, tenancy by the\n\nentireties, joint property, common property, or part ownership does\n\nnot by itself establish a partnership, even if the co-owners share\n\nprofits made by the use of the property.\n\n(2) The sharing of gross returns does not by itself establish a\n\npartnership, even if the persons sharing them have a joint or common\n\nright or interest in property from which the returns are derived.\n\n(3) A person who receives a share of the profits of a business\n\nis presumed to be a partner in the business, unless the profits were\n\nreceived in payment:\n\n(i) of a debt by installments or otherwise;\n\n(ii) for services as an independent contractor or of wages\n\nor other compensation to an employee;\n\n(iii) of rent;\n\n(iv) of an annuity or other retirement or health benefit to\n\na beneficiary, representative, or designee of a\n\ndeceased or retired partner;\n\n(v) of interest or other charge on a loan, even if the\n\namount of payment varies with the profits of the\n\nbusiness, including a direct or indirect present or\n\nfuture ownership of the collateral, or rights to\n\nincome, proceeds, or increase in value derived from\n\nthe collateral; or\n\n(vi) for the sale of the goodwill of a business or other\n\nproperty by installments or otherwise.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"eb649f649d33e00c1d1abced46bf8b8b8d2edb3f022e8c9bc213771e3c5dda1e","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-201","next":"us-ok/okla.-stat.-tit.-54-54-1-203"},"notice":"GroundRules: Original legal text.
