Stat. tit. 54, § 54-1-302","heading":"Transfer of Partnership Property","body":"Transfer of Partnership Property. (a) Partnership property may\n\nbe transferred as follows:\n\n(1) Subject to the effect of a statement of partnership\n\nauthority under Section 15 of this act, partnership property held in\n\nthe name of the partnership may be transferred by an instrument of\n\ntransfer executed by a partner in the partnership name.\n\n(2) Partnership property held in the name of one or more\n\npartners with an indication in the instrument transferring the\n\nproperty to them of their capacity as partners or of the existence\n\nof a partnership, but without an indication of the name of the\n\npartnership, may be transferred by an instrument of transfer\n\nexecuted by the persons in whose name the property is held.\n\n(3) Partnership property held in the name of one or more\n\npersons other than the partnership, without an indication in the\n\ninstrument transferring the property to them of their capacity as\n\npartners or of the existence of a partnership, may be transferred by\n\nan instrument of transfer executed by the persons in whose name the\n\nproperty is held.\n\n(b) A partnership may recover partnership property from a\n\ntransferee only if it proves that execution of the instrument of\n\ninitial transfer did not bind the partnership under Section 13 of\n\nthis act and:\n\n(1) as to a subsequent transferee who gave value for property\n\ntransferred under paragraphs (1) and (2) of subsection (a) of this\n\nsection, proves that the subsequent transferee knew or had received\n\na notification that the person who executed the instrument of\n\ninitial transfer lacked authority to bind the partnership; or\n\n(2) as to a transferee who gave value for property transferred\n\nunder paragraph (3) of subsection (a) of this section, proves that\n\nthe transferee knew or had received a notification that the property\n\nwas partnership property and that the person who executed the\n\ninstrument of initial transfer lacked authority to bind the\n\npartnership.\n\n(c) A partnership may not recover partnership property from a\n\nsubsequent transferee if the partnership would not have been\n\nentitled to recover the property, under subsection (b) of this\n\nsection, from any earlier transferee of the property.\n\n(d) If a person holds all of the partners' interests in the\n\npartnership, all of the partnership property vests in that person.\n\nThe person may execute a document in the name of the partnership to\n\nevidence vesting of the property in that person and may file or\n\nrecord the document.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"46b7acc52827b60210735142d34af1e9de340d7d939f386deef872d6a181019f","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-301","next":"us-ok/okla.-stat.-tit.-54-54-1-303"},"notice":"GroundRules: Original legal text.
