Stat. tit. 54, § 54-1-303","heading":"Statement of Partnership Authority","body":"Statement of Partnership Authority. (a) A partnership may file\n\nwith the Secretary of State a statement of partnership authority,\n\nwhich:\n\n(1) must include:\n\n(i) the name of the partnership;\n\n(ii) the street address of its chief executive office and\n\nof one office in this state, if there is one; and\n\n(iii) the name and mailing address of an agent appointed and\n\nmaintained by the partnership for the purpose of\n\nsubsection (b) of this section; or\n\n(iv) the names and mailing addresses of the partners\n\nauthorized to execute an instrument transferring real\n\nproperty held in the name of the partnership; and\n\n(2) may state the authority, or limitations on the authority,\n\nof some or all of the partners to enter into other transactions on\n\nbehalf of the partnership and any other matter.\n\n(b) If a statement of partnership authority names an agent, the\n\nagent shall maintain a list of the names and mailing addresses of\n\nall of the partners and make it available to any person on request\n\nfor good cause shown.\n\n(c) If a filed statement of partnership authority is executed\n\npursuant to subsection (c) of Section 6 of this act and states the\n\nname of the partnership but does not contain all of the other\n\ninformation required by subsection (a) of this section, the\n\nstatement nevertheless operates with respect to a person not a\n\npartner as provided in subsections (d) and (e) of this section.\n\n(d) Except as otherwise provided in subsection (g) of this\n\nsection, a filed statement of partnership authority supplements the\n\nauthority of a partner to enter into transactions on behalf of the\n\npartnership as follows:\n\n(1) Except for transfers of real property, a grant of authority\n\ncontained in a filed statement of partnership authority is\n\nconclusive in favor of a person who gives value without knowledge to\n\nthe contrary, so long as and to the extent that a limitation on that\n\nauthority is not then contained in another filed statement. A filed\n\ncancellation of a limitation on authority revives the previous grant\n\nof authority.\n\n(2) A grant of authority to transfer real property held in the\n\nname of the partnership contained in a certified copy of a filed\n\nstatement of partnership authority recorded in the office for\n\nrecording transfers of that real property is conclusive in favor of\n\na person who gives value without knowledge to the contrary, so long\n\nas and to the extent that a certified copy of a filed statement\n\ncontaining a limitation on that authority is not then of record in\n\nthe office for recording transfers of that real property. The\n\nrecording in the office for recording transfers of that real\n\nproperty of a certified copy of a filed cancellation of a limitation\n\non authority revives the previous grant of authority.\n\n(e) A person not a partner is deemed to know of a limitation on\n\nthe authority of a partner to transfer real property held in the\n\nname of the partnership if a certified copy of the filed statement\n\ncontaining the limitation on authority is of record in the office\n\nfor recording transfers of that real property.\n\n(f) Except as otherwise provided in subsections (d) and (e) of\n\nthis section and Sections 38 and 44 of this act, a person not a\n\npartner is not deemed to know of a limitation on the authority of a\n\npartner merely because the limitation is contained in a filed\n\nstatement.\n\n(g) Unless earlier canceled, a filed statement of partnership\n\nauthority is canceled by operation of law five (5) years after the\n\ndate on which the statement, or the most recent amendment, was filed\n\nwith the Secretary of State.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"05f1f12e4e08a29183d8d9b83ee61582f825b2c60dc76d53cd54b9aeadc2c768","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-302","next":"us-ok/okla.-stat.-tit.-54-54-1-304"},"notice":"GroundRules: Original legal text.
