(a) If a person, by words or\n\nconduct, purports to be a partner, or consents to being represented\n\nby another as a partner, in a partnership or with one or more\n\npersons not partners, the purported partner is liable to a person to\n\nwhom the representation is made, if that person, relying on the\n\nrepresentation, enters into a transaction with the actual or\n\npurported partnership. If the representation, either by the\n\npurported partner or by a person with the purported partner's\n\nconsent, is made in a public manner, the purported partner is liable\n\nto a person who relies upon the purported partnership even if the\n\npurported partner is not aware of being held out as a partner to the\n\nclaimant. If partnership liability results, the purported partner\n\nis liable with respect to that liability as if the purported partner\n\nwere a partner. If no partnership liability results, the purported\n\npartner is liable with respect to that liability jointly and\n\nseverally with any other person consenting to the representation.\n\n(b) If a person is thus represented to be a partner in an\n\nexisting partnership, or with one or more persons not partners, the\n\npurported partner is an agent of persons consenting to the\n\nrepresentation to bind them to the same extent and in the same\n\nmanner as if the purported partner were a partner, with respect to\n\npersons who enter into transactions in reliance upon the\n\nrepresentation. If all of the partners of the existing partnership\n\nconsent to the representation, a partnership act or obligation\n\nresults. If fewer than all of the partners of the existing\n\npartnership consent to the representation, the person acting and the\n\npartners consenting to the representation are jointly and severally\n\nliable.\n\n(c) A person is not liable as a partner merely because the\n\nperson is named by another in a statement of partnership authority.\n\n(d) A person does not continue to be liable as a partner merely\n\nbecause of a failure to file a statement of dissociation or to amend\n\na statement of partnership authority to indicate the partner's\n\ndissociation from the partnership.\n\n(e) Except as otherwise provided in subsections (a) and (b) of\n\nthis section, persons who are not partners as to each other are not\n\nliable as partners to other persons.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"fbbb716665b320849686bc5c8084b7c666d279dbdcedfe78a0a20a0f6221bcfa","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-307","next":"us-ok/okla.-stat.-tit.-54-54-1-309"},"notice":"GroundRules: Original legal text.
