Stat. tit. 54, § 54-1-405","heading":"Actions by Partnership and Partners","body":"Actions by Partnership and Partners. (a) A partnership may\n\nmaintain an action against a partner for a breach of the partnership\n\nagreement, or for the violation of a duty to the partnership,\n\ncausing harm to the partnership.\n\n(b) A partner may maintain an action against the partnership or\n\nanother partner for legal or equitable relief, with or without an\n\naccounting as to partnership business, to:\n\n(1) enforce the partner's rights under the partnership\n\nagreement;\n\n(2) enforce the partner's rights under this act, including:\n\n(i) the partner's rights under Sections 22, 24, or 25 of\n\nthis act;\n\n(ii) the partner's right on dissociation to have the\n\npartner's interest in the partnership purchased\n\npursuant to Section 35 of this act or enforce any\n\nother right under Article 6 or 7 of this act; or\n\n(iii) the partner's right to compel a dissolution and\n\nwinding up of the partnership business under Section\n\n40 of this act or enforce any other right under\n\nArticle 8 of this act; or\n\n(3) enforce the rights and otherwise protect the interests of\n\nthe partner, including rights and interests arising independently of\n\nthe partnership relationship.\n\n(c) The accrual of, and any time limitation on, a right of\n\naction for a remedy under this section is governed by other law.
