A partner is dissociated\n\nfrom a partnership upon the occurrence of any of the following\n\nevents:\n\n(1) the partnership's having notice of the partner's express\n\nwill to withdraw as a partner or on a later date specified by the\n\npartner;\n\n(2) an event agreed to in the partnership agreement as causing\n\nthe partner's dissociation;\n\n(3) the partner's expulsion pursuant to the partnership\n\nagreement;\n\n(4) the partner's expulsion by the unanimous vote of the other\n\npartners if:\n\n(i) it is unlawful to carry on the partnership business\n\nwith that partner;\n\n(ii) there has been a transfer of all or substantially all\n\nof that partner's transferable interest in the\n\npartnership, other than a transfer for security\n\npurposes, or a court order charging the partner's\n\ninterest, which has not been foreclosed;\n\n(iii) within ninety (90) days after the partnership notifies\n\na corporate partner that it will be expelled because\n\nit has filed a certificate of dissolution or the\n\nequivalent, its charter has been revoked, or its right\n\nto conduct business has been suspended by the\n\njurisdiction of its incorporation, there is no\n\nrevocation of the certificate of dissolution or no\n\nreinstatement of its charter or its right to conduct\n\nbusiness; or\n\n(iv) a partnership that is a partner has been dissolved and\n\nits business is being wound up;\n\n(5) on application by the partnership or another partner, the\n\npartner's expulsion by judicial determination because:\n\n(i) the partner engaged in wrongful conduct that adversely\n\nand materially affected the partnership business;\n\n(ii) the partner willfully or persistently committed a\n\nmaterial breach of the partnership agreement or of a\n\nduty owed to the partnership or the other partners\n\nunder Section 25 of this act; or\n\n(iii) the partner engaged in conduct relating to the\n\npartnership business which makes it not reasonably\n\npracticable to carry on the business in partnership\n\nwith the partner;\n\n(6) the partner's:\n\n(i) becoming a debtor in bankruptcy;\n\n(ii) executing an assignment for the benefit of creditors;\n\n(iii) seeking, consenting to, or acquiescing in the\n\nappointment of a trustee, receiver, or liquidator of\n\nthat partner or of all or substantially all of that\n\npartner's property; or\n\n(iv) failing, within ninety (90) days after the\n\nappointment, to have vacated or stayed the appointment\n\nof a trustee, receiver, or liquidator of the partner\n\nor of all or substantially all of the partner's\n\nproperty obtained without the partner's consent or\n\nacquiescence, or failing within ninety (90) days after\n\nthe expiration of a stay to have the appointment\n\nvacated;\n\n(7) in the case of a partner who is an individual:\n\n(i) the partner's death;\n\n(ii) the appointment of a guardian or general conservator\n\nfor the partner; or\n\n(iii) a judicial determination that the partner has\n\notherwise become incapable of performing the partner's\n\nduties under the partnership agreement;\n\n(8) in the case of a partner that is a trust or is acting as a\n\npartner by virtue of being a trustee of a trust, distribution of the\n\ntrust's entire transferable interest in the partnership, but not\n\nmerely by reason of the substitution of a successor trustee;\n\n(9) in the case of a partner that is an estate or is acting as\n\na partner by virtue of being a personal representative of an estate,\n\ndistribution of the estate's entire transferable interest in the\n\npartnership, but not merely by reason of the substitution of a\n\nsuccessor personal representative; or\n\n(10) termination of a partner who is not an individual,\n\npartnership, corporation, trust, or estate.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"30bf3a72929bfff0a4e26db0bd7ad05e2bb992b1e4166653838af27efb84bb32","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-504","next":"us-ok/okla.-stat.-tit.-54-54-1-602"},"notice":"GroundRules: Original legal text.
