Stat. tit. 54, § 54-1-702","heading":"Dissociated Partner's Power to Bind and Liability to","body":"Partnership.\n\nDissociated Partner's Power to Bind and Liability to\n\nPartnership. (a) For two (2) years after a partner dissociates\n\nwithout resulting in a dissolution and winding up of the partnership\n\nbusiness, the partnership, including a surviving partnership under\n\nArticle 9 of this act, is bound by an act of the dissociated partner\n\nwhich would have bound the partnership under Section 13 of this act\n\nbefore dissociation only if at the time of entering into the\n\ntransaction the other party:\n\n(1) reasonably believed that the dissociated partner was then a\n\npartner;\n\n(2) did not have notice of the partner's dissociation; and\n\n(3) is not deemed to have had knowledge under subsection (e) of\n\nSection 15 of this act or notice under subsection (c) of Section 38\n\nof this act.\n\n(b) A dissociated partner is liable to the partnership for any\n\ndamage caused to the partnership arising from an obligation incurred\n\nby the dissociated partner after dissociation for which the\n\npartnership is liable under subsection (a) of this section.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"275deba83d8fbf4d00c591a0129a074a778eb2ce3d45c7de335c8642e07e07da","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-701","next":"us-ok/okla.-stat.-tit.-54-54-1-703"},"notice":"GroundRules: Original legal text.
