Stat. tit. 54, § 54-1-703","heading":"Dissociated Partner's Liability to Other Persons","body":"Dissociated Partner's Liability to Other Persons. (a) A\n\npartner's dissociation does not of itself discharge the partner's\n\nliability for a partnership obligation incurred before dissociation.\n\nA dissociated partner is not liable for a partnership obligation\n\nincurred after dissociation, except as otherwise provided in\n\nsubsection (b) of this section.\n\n(b) A partner who dissociates without resulting in a\n\ndissolution and winding up of the partnership business is liable as\n\na partner to the other party in a transaction entered into by the\n\npartnership, or a surviving partnership under Article 9 of this act,\n\nwithin two (2) years after the partner's dissociation, only if the\n\npartner is liable for the obligation under Section 18 of this act\n\nand at the time of entering into the transaction the other party:\n\n(1) reasonably believed that the dissociated partner was then a\n\npartner;\n\n(2) did not have notice of the partner's dissociation; and\n\n(3) is not deemed to have had knowledge under subsection (e) of\n\nSection 15 of this act or notice under subsection (c) of Section 38\n\nof this act.\n\n(c) By agreement with the partnership creditor and the partners\n\ncontinuing the business, a dissociated partner may be released from\n\nliability for a partnership obligation.\n\n(d) A dissociated partner is released from liability for a\n\npartnership obligation if a partnership creditor, with notice of the\n\npartner's dissociation but without the partner's consent, agrees to\n\na material alteration in the nature or time of payment of a\n\npartnership obligation.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"258c4b657e5af1728b0f72b20e6e16ebc067d0b9f57d68081caf2d9257568883","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-702","next":"us-ok/okla.-stat.-tit.-54-54-1-704"},"notice":"GroundRules: Original legal text.
