Stat. tit. 54, § 54-1-802","heading":"Partnership Continues After Dissolution","body":"Partnership Continues After Dissolution. (a) Subject to\n\nsubsection (b) of this section, a partnership continues after\n\ndissolution only for the purpose of winding up its business. The\n\npartnership is terminated when the winding up of its business is\n\ncompleted.\n\n(b) At any time after the dissolution of a partnership and\n\nbefore the winding up of its business is completed, all of the\n\npartners, including any dissociating partner other than a wrongfully\n\ndissociating partner, may waive the right to have the partnership's\n\nbusiness wound up and the partnership terminated.\n\nIn that event:\n\n(1) the partnership resumes carrying on its business as if\n\ndissolution had never occurred, and any liability incurred by the\n\npartnership or a partner after the dissolution and before the waiver\n\nis determined as if dissolution had never occurred; and\n\n(2) the rights of a third party accruing under paragraph (1) of\n\nSection 43 of this act or arising out of conduct in reliance on the\n\ndissolution before the third party knew or received a notification\n\nof the waiver may not be adversely affected.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"040e85391d4f58bae4f6e44d1d462efc88cbe6e626e3d4fa94fa40af18d5a07e","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-801","next":"us-ok/okla.-stat.-tit.-54-54-1-803"},"notice":"GroundRules: Original legal text.
