Stat. tit. 54, § 54-1-803","heading":"Right to Wind Up Partnership Business","body":"Right to Wind Up Partnership Business. (a) After dissolution,\n\na partner who has not wrongfully dissociated may participate in\n\nwinding up the partnership's business, but on application of any\n\npartner, partner's legal representative, or transferee, the district\n\ncourt, for good cause shown, may order judicial supervision of the\n\nwinding up.\n\n(b) The legal representative of the last surviving partner may\n\nwind up a partnership's business.\n\n(c) A person winding up a partnership's business may preserve\n\nthe partnership business or property as a going concern for a\n\nreasonable time, prosecute and defend actions and proceedings,\n\nwhether civil, criminal, or administrative, settle and close the\n\npartnership's business, dispose of and transfer the partnership's\n\nproperty, discharge the partnership's liabilities, distribute the\n\nassets of the partnership pursuant to Section 46 of this act, settle\n\ndisputes by mediation or arbitration, and perform other necessary\n\nacts.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"98d40af17c0afbb592d0bb516801fda224d0b3612a5408eb8ee10dee48daaf2b","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-802","next":"us-ok/okla.-stat.-tit.-54-54-1-804"},"notice":"GroundRules: Original legal text.
