(a) After dissolution, a partner who\n\nhas not wrongfully dissociated may file with the Secretary of State\n\na statement of dissolution stating the name of the partnership and\n\nthat the partnership has dissolved and is winding up its business.\n\n(b) A statement of dissolution cancels a filed statement of\n\npartnership authority for the purposes of subsection (d) of Section\n\n15 of this act and is a limitation on authority for the purposes of\n\nsubsection (e) of Section 15 of this act.\n\n(c) For the purposes of Sections 13 and 43 of this act, a\n\nperson not a partner is deemed to have notice of the dissolution and\n\nthe limitation on the partners' authority as a result of the\n\nstatement of dissolution ninety (90) days after it is filed.\n\n(d) After filing and, if appropriate, recording a statement of\n\ndissolution, a dissolved partnership may file and, if appropriate,\n\nrecord a statement of partnership authority which will operate with\n\nrespect to a person not a partner as provided in subsections (d) and\n\n(e) of Section 15 of this act in any transaction, whether or not the\n\ntransaction is appropriate for winding up the partnership business.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"62f39e76d4581ed92839c0f59b3611a8921b1b35a987de412db8537b0d50ba88","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-804","next":"us-ok/okla.-stat.-tit.-54-54-1-806"},"notice":"GroundRules: Original legal text.
