Stat. tit. 54, § 54-1-902","heading":"Conversion of organization other than partnership to","body":"domestic partnership - Conversion of domestic partnership to another\n\norganization.\n\nConversion of organization other than partnership to domestic\n\npartnership; Conversion of domestic partnership to another\n\norganization.\n\n(a) An organization other than a partnership may convert to a\n\ndomestic partnership, and a domestic partnership may convert to\n\nanother organization pursuant to this section and Sections 1-903 and\n\n1-904 of this title and a plan of conversion, if:\n\n(1) The other organization’s governing statute authorizes the\n\nconversion;\n\n(2) The conversion is not prohibited by the law of the\n\njurisdiction that enacted the governing statute; and\n\n(3) The other organization complies with its governing statute\n\nin effecting the conversion.\n\n(b) A plan of conversion must be in a record and must include:\n\n(1) The name and form of the organization before conversion;\n\n(2) The name and form of the organization after conversion;\n\n(3) The terms and conditions of the conversion, including the\n\nmanner and basis for converting interests in the converting\n\norganization into any combination of money, interests in the\n\nconverted organization, and other consideration; and\n\n(4) The organizational documents of the converted organization.\n\n(c) Subject to Section 1-909 of this title, a plan of\n\nconversion must be consented to by all the partners of a converting\n\npartnership.\n\n(d) Subject to Section 1-909 of this title and any contractual\n\nrights, after a conversion is approved, and at any time before a\n\nfiling is made under Section 1-903 of this title, a converting\n\npartnership may amend the plan or abandon the planned conversion:\n\n(1) As provided in the plan; and\n\n(2) Except as prohibited by the plan, by the same consent as\n\nwas required to approve the plan.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"26a40b133ec9bfe746ea802a61b9b561fe75eafa5184c8ec73a7790c3a323342","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-901","next":"us-ok/okla.-stat.-tit.-54-54-1-903"},"notice":"GroundRules: Original legal text.
