Stat. tit. 54, § 54-1-903","heading":"Filings Required for Conversion - Effective Date","body":"Filings Required for Conversion; Effective Date.\n\n(a) After a plan of conversion is approved, if\n\n(i) the converted organization is a domestic\n\nconverted partnership, or\n\n(ii) the governing statute of the converted\n\norganization does not provide for the filing of a\n\nconversion notice with the Secretary of State, or\n\n(iii) the converted organization is a foreign\n\norganization:\n\n(1) a converting partnership shall deliver to the Secretary of\n\nState for filing a certificate of conversion, which must include:\n\n(i) a statement that the partnership was converted\n\nfrom, or has been converted to, another\n\norganization, as the case may be;\n\n(ii) the name and form of the converting organization\n\nand the jurisdiction of its governing statute;\n\n(iii) the date the conversion is effective under the\n\ngoverning statute of the converted organization;\n\n(iv) a statement that the conversion was approved as\n\nrequired by Section 1-902 of this title, if the\n\nconverted organization is not a converted\n\npartnership;\n\n(v) a statement that the conversion was approved as\n\nrequired by the governing statute of the\n\nconverted organization, if the converted\n\norganization is a converted partnership; and\n\n(vi) if the converted organization is a foreign\n\norganization not authorized to transact business\n\nin this state, the street and mailing address of\n\nan office which the Secretary of State may use\n\nfor the purposes of subsection (c) of Section 1-\n\n904 of this title.\n\n(2) if the governing statute of the converted organization\n\nrequires the filing of an organizational document with the Secretary\n\nof State, the converted organization shall deliver to the Secretary\n\nof State for filing the required organizational document.\n\n(b) A conversion becomes effective upon the future effective\n\ndate or time set forth in the certificate of conversion, which shall\n\nbe a date or time certain not later than ninety (90) days after the\n\nfiling.
