Stat. tit. 54, § 54-1-904","heading":"Effect of conversion - Entity unchanged","body":"Effect of Conversion; Entity Unchanged.\n\n(a) An organization that has been converted pursuant to this\n\narticle is for all purposes the same entity that existed before the\n\nconversion.\n\n(b) When a conversion takes effect:\n\n(1) all property owned by the converting organization remains\n\nvested in the converted organization;\n\n(2) all debts, liabilities and other obligations of the\n\nconverting organization continue as obligations of the converted\n\norganization;\n\n(3) an action or proceeding pending against the converting\n\norganization may be continued as if the conversion had not occurred;\n\n(4) except as prohibited by other law, all of the rights,\n\nprivileges, immunities, powers, and purposes of the converting\n\norganization remain vested in the converted organization;\n\n(5) except as otherwise provided in the plan of conversion, the\n\nterms and conditions of the plan of conversion take effect; and\n\n(6) except as otherwise agreed, the conversion does not\n\ndissolve a converting partnership for the purposes of Article 8.\n\n(c) A converted organization that is a foreign organization\n\nconsents to the jurisdiction of the courts of this state to enforce\n\nany obligation owed by the converting partnership, if before the\n\nconversion the converting partnership was subject to suit in this\n\nstate on the obligation.
