(a) Pursuant to a plan of merger\n\napproved as provided in subsection (c) of this section, a\n\npartnership may be merged with one or more partnerships or limited\n\npartnerships.\n\n(b) The plan of merger must set forth:\n\n(1) the name of each partnership or limited partnership that is\n\na party to the merger;\n\n(2) the name of the surviving entity into which the other\n\npartnerships or limited partnerships will merge;\n\n(3) whether the surviving entity is a partnership or a limited\n\npartnership and the status of each partner;\n\n(4) the terms and conditions of the merger;\n\n(5) the manner and basis of converting the interests of each\n\nparty to the merger into interests or obligations of the surviving\n\nentity, or into money or other property in whole or part; and\n\n(6) the street address of the surviving entity's chief\n\nexecutive office.\n\n(c) The plan of merger must be approved:\n\n(1) in the case of a partnership that is a party to the merger,\n\nby all of the partners, or a number or percentage specified for\n\nmerger in the partnership agreement; and\n\n(2) in the case of a limited partnership that is a party to the\n\nmerger, by the vote required for approval of a merger by the law of\n\nthe state or foreign jurisdiction in which the limited partnership\n\nis organized and, in the absence of such a specifically applicable\n\nlaw, by all of the partners, notwithstanding a provision to the\n\ncontrary in the partnership agreement.\n\n(d) After a plan of merger is approved and before the merger\n\ntakes effect, the plan may be amended or abandoned as provided in\n\nthe plan.\n\n(e) The merger takes effect on the later of:\n\n(1) the approval of the plan of merger by all parties to the\n\nmerger, as provided in subsection (c) of this section;\n\n(2) the filing of all documents required by law to be filed as\n\na condition to the effectiveness of the merger; or\n\n(3) any effective date specified in the plan of merger.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"12da525a9ca6103832ab4792dd9b1163a3a0399051fd280375a50083f0fe2951","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-904","next":"us-ok/okla.-stat.-tit.-54-54-1-906"},"notice":"GroundRules: Original legal text.
