(a) After a merger, the surviving\n\npartnership or limited partnership may file a statement with the\n\nSecretary of State that one or more partnerships or limited\n\npartnerships have merged into the surviving entity.\n\n(b) A statement of merger must contain:\n\n(1) the name of each partnership or limited partnership that is\n\na party to the merger;\n\n(2) the name of the surviving entity into which the other\n\npartnerships or limited partnership were merged;\n\n(3) the street address of the surviving entity's chief\n\nexecutive office and of an office in this State, if any;\n\n(4) whether the surviving entity is a partnership or a limited\n\npartnership; and\n\n(5) a statement that the plan of merger was approved and\n\nexecuted as required by law by each partnership or limited\n\npartnership which is to merge, and of the effective date or time of\n\nthe merger if it is not to be effective upon the filing of the\n\ncertificate of merger.\n\n(c) Except as otherwise provided in subsection (d) of this\n\nsection, for the purposes of Section 14 of this act, property of the\n\nsurviving partnership or limited partnership which before the merger\n\nwas held in the name of another party to the merger is property held\n\nin the name of the surviving entity upon filing a statement of\n\nmerger.\n\n(d) For the purposes of Section 14 of this act, real property\n\nof the surviving partnership or limited partnership which before the\n\nmerger was held in the name of another party to the merger is\n\nproperty held in the name of the surviving entity upon recording a\n\ncertified copy of the statement of merger in the office for\n\nrecording transfers of that real property.\n\n(e) A filed and, if appropriate, recorded statement of merger,\n\nexecuted and declared to be accurate pursuant to subsection (c) of\n\nSection 6 of this act, stating the name of a partnership or limited\n\npartnership that is a party to the merger in whose name property was\n\nheld before the merger and the name of the surviving entity, but not\n\ncontaining all of the other information required by subsection (b)\n\nof this section, operates with respect to the partnerships or\n\nlimited partnerships named to the extent provided in subsections (c)\n\nand (d) of this section.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"36c656e0de5cc019d62db396b9ac0c036c948e993a0023f41d3bf04529b6e777","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-906","next":"us-ok/okla.-stat.-tit.-54-54-1-908"},"notice":"GroundRules: Original legal text.
