Stat. tit. 54, § 54-1-909","heading":"Personal liability of partner of converting or","body":"constituent partnership - Consent.\n\nPersonal liability of partner of converting or constituent\n\npartnership; Consent.\n\n(a) If a partner of a converting or constituent partnership\n\nwill have personal liability with respect to a converted or\n\nsurviving organization, approval and amendment of a plan of\n\nconversion or merger are ineffective without the consent of the\n\npartner, unless:\n\n(1) the partnership agreement provides for the approval of the\n\nconversion or merger with the consent of fewer than all the\n\npartners; and\n\n(2) the partner has consented to the provision of the\n\npartnership agreement.\n\n(b) A cancellation of a statement of qualification of a\n\npartnership as a limited liability partnership is ineffective\n\nwithout the consent of each general partner unless:\n\n(1) the partnership agreement provides for the amendment with\n\nthe consent of less than all the partners; and\n\n(2) each partner that does not consent to the amendment has\n\nconsented to the provision of the partnership agreement.\n\n(c) A partner does not give the consent required by subsection\n\n(a) or (b) of this section merely by consenting to a provision of\n\nthe partnership agreement that permits the partnership agreement to\n\nbe amended with the consent of fewer than all the partners.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"542db7ead505137cb8c6728601d7d0339aab4695efc94f5931f05a8a3b373292","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-1-908","next":"us-ok/okla.-stat.-tit.-54-54-500-1001a"},"notice":"GroundRules: Original legal text.
