Stat. tit. 54, § 54-500-1001A","heading":"Direct action by partner","body":"DIRECT ACTION BY PARTNER.\n\n(a) Subject to subsection (b) of this section, a partner may\n\nmaintain a direct action against the limited partnership or another\n\npartner for legal or equitable relief, with or without an accounting\n\nas to the partnership’s activities, to enforce the rights and\n\notherwise protect the interests of the partner, including rights and\n\ninterests under the partnership agreement or the Uniform Limited\n\nPartnership Act of 2010 or arising independently of the partnership\n\nrelationship.\n\n(b) A partner commencing a direct action under this section is\n\nrequired to plead and prove an actual or threatened injury that is\n\nnot solely the result of an injury suffered or threatened to be\n\nsuffered by the limited partnership.\n\n(c) The accrual of, and any time limitation on, a right of\n\naction for a remedy under this section is governed by other law.
