Stat. tit. 54, § 54-500-103A","heading":"Knowledge and notice","body":"KNOWLEDGE AND NOTICE.\n\n(a) A person knows a fact if the person has actual knowledge of\n\nit.\n\n(b) A person has notice of a fact if the person:\n\n(1) knows of it;\n\n(2) has received a notification of it;\n\n(3) has reason to know it exists from all of the facts known to\n\nthe person at the time in question; or\n\n(4) has notice of it under subsection (c) or (d) of this\n\nsection.\n\n(c) A certificate of limited partnership on file in the Office\n\nof the Secretary of State is notice that the partnership is a\n\nlimited partnership and the persons designated in the certificate as\n\ngeneral partners are general partners. Except as otherwise provided\n\nin subsection (d) of this section, the certificate is not notice of\n\nany other fact.\n\n(d) A person has notice of:\n\n(1) another person’s dissociation as a general partner, ninety\n\n(90) days after the effective date of an amendment to the\n\ncertificate of limited partnership which states that the other\n\nperson has dissociated or ninety (90) days after the effective date\n\nof a statement of dissociation pertaining to the other person,\n\nwhichever occurs first;\n\n(2) a limited partnership’s dissolution, ninety (90) days after\n\nthe effective date of an amendment to the certificate of limited\n\npartnership stating that the limited partnership is dissolved;\n\n(3) a limited partnership’s cessation, ninety (90) days after\n\nthe effective date of a statement of cessation;\n\n(4) a limited partnership’s conversion under Article 11 of this\n\nact, ninety (90) days after the effective date of the articles of\n\nconversion; or\n\n(5) a merger under Article 11 of this act, ninety (90) days\n\nafter the effective date of the articles of merger.\n\n(e) A person notifies or gives a notification to another person\n\nby taking steps reasonably required to inform the other person in\n\nordinary course, whether or not the other person learns of it.\n\n(f) A person receives a notification when the notification:\n\n(1) comes to the person’s attention; or\n\n(2) is delivered at the person’s place of business or at any\n\nother place held out by the person as a place for receiving\n\ncommunications.\n\n(g) Except as otherwise provided in subsection (h) of this\n\nsection, a person other than an individual knows, has notice, or\n\nreceives a notification of a fact for purposes of a particular\n\ntransaction when the individual conducting the transaction for the\n\nperson knows, has notice, or receives a notification of the fact, or\n\nin any event when the fact would have been brought to the\n\nindividual’s attention if the person had exercised reasonable\n\ndiligence. A person other than an individual exercises reasonable\n\ndiligence if it maintains reasonable routines for communicating\n\nsignificant information to the individual conducting the transaction\n\nfor the person and there is reasonable compliance with the routines.\n\nReasonable diligence does not require an individual acting for the\n\nperson to communicate information unless the communication is part\n\nof the individual’s regular duties or the individual has reason to\n\nknow of the transaction and that the transaction would be materially\n\naffected by the information.\n\n(h) A general partner’s knowledge, notice, or receipt of a\n\nnotification of a fact relating to the limited partnership is\n\neffective immediately as knowledge of, notice to, or receipt of a\n\nnotification by the limited partnership, except in the case of a\n\nfraud on the limited partnership committed by or with the consent of\n\nthe general partner.
