Stat. tit. 54, § 54-500-108A","heading":"Name","body":"NAME.\n\n(a) The name of a limited partnership may contain the name of\n\nany partner.\n\n(b) The name of a limited partnership that is not a limited\n\nliability limited partnership must contain the phrase “limited\n\npartnership” or the abbreviation “L.P.” or “LP” and may not contain\n\nthe phrase “limited liability limited partnership” or the\n\nabbreviation “LLLP” or “L.L.L.P.”.\n\n(c) The name of a limited liability limited partnership must\n\ncontain the phrase “limited liability limited partnership” or the\n\nabbreviation “LLLP” or “L.L.L.P.” and must not contain the\n\nabbreviation “L.P.” or “LP.”\n\n(d) Unless authorized by subsection (e) of this section, the\n\nname of a limited partnership must be distinguishable in the records\n\nof the Secretary of State from:\n\n(1) the name of each other limited partnership, corporation,\n\nlimited liability company or partnership then existing or authorized\n\nto transact business in this state or that were in existence or\n\nauthorized at any time during the preceding three (3) years;\n\n(2) each name reserved under Section 9 of this act; and\n\n(3) each trade name filed with the Secretary of State.\n\n(e) A limited partnership may apply to the Secretary of State\n\nfor authorization to use a name that does not comply with subsection\n\n(d) of this section. The Secretary of State shall authorize use of\n\nthe name applied for if, as to each conflicting name:\n\n(1) the present user, registrant, or owner of the conflicting\n\nname consents in a signed record to the use and submits an\n\nundertaking in a form satisfactory to the Secretary of State to\n\nchange the conflicting name to a name that complies with subsection\n\n(d) of this section and is distinguishable in the records of the\n\nSecretary of State from the name applied for;\n\n(2) the applicant delivers to the Secretary of State a\n\ncertified copy of the final judgment of a court of competent\n\njurisdiction establishing the applicant’s right to use in this state\n\nthe name applied for; or\n\n(3) the applicant delivers to the Secretary of State proof\n\nsatisfactory to the Secretary of State that the present user,\n\nregistrant, or owner of the conflicting name has or will have upon\n\nthe effective time and date of filed articles of merger or\n\nconversion:\n\n(A) merged into the applicant;\n\n(B) converted into the applicant; or\n\n(C) transferred substantially all of its assets, including\n\nthe conflicting name, to the applicant.\n\n(f) Subject to Section 79 of this act, this section applies to\n\nany foreign limited partnership transacting business in this state,\n\nhaving a certificate of authority to transact business in this\n\nstate, or applying for a certificate of authority.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"997a8f2359f703f49e18c71a4b85e97d017f91e7c1c8f251e8563dea88c104d0","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-107a","next":"us-ok/okla.-stat.-tit.-54-54-500-109a"},"notice":"GroundRules: Original legal text.
