Stat. tit. 54, § 54-500-1102A","heading":"Conversion","body":"CONVERSION.\n\n(a) An organization other than a limited partnership may\n\nconvert to a limited partnership, and a limited partnership may\n\nconvert to another organization pursuant to this section and\n\nSections 90 through 92 of this act and a plan of conversion, if:\n\n(1) the other organization’s governing statute authorizes the\n\nconversion;\n\n(2) the conversion is not prohibited by the law of the\n\njurisdiction that enacted the governing statute; and\n\n(3) the other organization complies with its governing statute\n\nin effecting the conversion.\n\n(b) A plan of conversion must be in a record and must include:\n\n(1) the name and form of the organization before conversion;\n\n(2) the name and form of the organization after conversion; and\n\n(3) the terms and conditions of the conversion, including the\n\nmanner and basis for converting interests in the converting\n\norganization into any combination of money, interests in the\n\nconverted organization, and other consideration; and\n\n(4) the organizational documents of the converted organization.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"ec95d16f50f7b78712efcc1f92792b0d85c3171fe0541dfe93fb453d21b2865a","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-1101a","next":"us-ok/okla.-stat.-tit.-54-54-500-1103a"},"notice":"GroundRules: Original legal text.
