Stat. tit. 54, § 54-500-1104A","heading":"Filings required for conversion - Effective date","body":"FILINGS REQUIRED FOR CONVERSION; EFFECTIVE DATE.\n\n(a) After a plan of conversion is approved:\n\n(1) a converting limited partnership shall deliver to the\n\nSecretary of State for filing articles of conversion, which must\n\ninclude:\n\n(A) a statement that the limited partnership has been\n\nconverted into another organization;\n\n(B) the name and form of the organization and the\n\njurisdiction of its governing statute;\n\n(C) the date the conversion is effective under the\n\ngoverning statute of the converted organization;\n\n(D) a statement that the conversion was approved as\n\nrequired by the Uniform Limited Partnership Act of\n\n2010;\n\n(E) a statement that the conversion was approved as\n\nrequired by the governing statute of the converted\n\norganization; and\n\n(F) if the converted organization is a foreign\n\norganization not authorized to transact business in\n\nthis state, the street and mailing address of an\n\noffice which the Secretary of State may use for the\n\npurposes of subsection (c) of Section 92 of this act;\n\nand\n\n(2) if the converting organization is not a converting limited\n\npartnership, the converting organization shall deliver to the\n\nSecretary of State for filing a certificate of limited partnership,\n\nwhich must include, in addition to the information required by\n\nSection 19 of this act:\n\n(A) a statement that the limited partnership was converted\n\nfrom another organization;\n\n(B) the name and form of the organization and the\n\njurisdiction of its governing statute; and\n\n(C) a statement that the conversion was approved in a\n\nmanner that complied with the organization’s governing\n\nstatute.\n\n(b) A conversion becomes effective:\n\n(1) if the converted organization is a limited partnership,\n\nwhen the certificate of limited partnership takes effect; and\n\n(2) if the converted organization is not a limited partnership,\n\nas provided by the governing statute of the converted organization.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"b2e06ddcd99a266138db33571e10f2c2d170bdafa8582117ebe3a651a5b57e02","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-1103a","next":"us-ok/okla.-stat.-tit.-54-54-500-1105a"},"notice":"GroundRules: Original legal text.
