Stat. tit. 54, § 54-500-1105A","heading":"Effect of conversion","body":"EFFECT OF CONVERSION.\n\n(a) An organization that has been converted pursuant to this\n\narticle is for all purposes the same entity that existed before the\n\nconversion.\n\n(b) When a conversion takes effect:\n\n(1) all property owned by the converting organization remains\n\nvested in the converted organization;\n\n(2) all debts, liabilities, and other obligations of the\n\nconverting organization continue as obligations of the converted\n\norganization;\n\n(3) an action or proceeding pending by or against the\n\nconverting organization may be continued as if the conversion had\n\nnot occurred;\n\n(4) except as prohibited by other law, all of the rights,\n\nprivileges, immunities, powers, and purposes of the converting\n\norganization remain vested in the converted organization;\n\n(5) except as otherwise provided in the plan of conversion, the\n\nterms and conditions of the plan of conversion take effect;\n\n(6) except as otherwise agreed, the conversion does not\n\ndissolve a converting limited partnership for the purposes of\n\nArticle 8 of this act; and\n\n(7) the conversion does not authorize a converted organization\n\nthat is a foreign organization to transact business in this state.\n\n(c) A converted organization that is a foreign organization\n\nconsents to the jurisdiction of the courts of this state to enforce\n\nany obligation owed by the converting limited partnership, if before\n\nthe conversion the converting limited partnership was subject to\n\nsuit in this state on the obligation. A converted organization that\n\nis a foreign organization and not authorized to transact business in\n\nthis state appoints the Secretary of State as its agent for service\n\nof process for purposes of enforcing an obligation under this\n\nsubsection.
