Stat. tit. 54, § 54-500-1106A","heading":"Merger","body":"MERGER.\n\n(a) A limited partnership may merge with one or more other\n\nconstituent organizations pursuant to this section and Sections 94\n\nthrough 96 of this act and a plan of merger, if:\n\n(1) the governing statute of each of the other organizations\n\nauthorizes the merger;\n\n(2) the merger is not prohibited by the law of a jurisdiction\n\nthat enacted any of those governing statutes; and\n\n(3) each of the other organizations complies with its governing\n\nstatute in effecting the merger.\n\n(b) A plan of merger must be in a record and must include:\n\n(1) the name and form of each constituent organization;\n\n(2) the name and form of the surviving organization and, if the\n\nsurviving organization is to be created by the merger, a statement\n\nto that effect;\n\n(3) the terms and conditions of the merger, including the\n\nmanner and basis for converting the interests in each constituent\n\norganization into any combination of money, interests in the\n\nsurviving organization, and other consideration;\n\n(4) if the surviving organization is to be created by the\n\nmerger, the surviving organization’s organizational documents; and\n\n(5) if the surviving organization is not to be created by the\n\nmerger, any amendments to be made by the merger to the surviving\n\norganization’s organizational documents.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"a204ff4d1a0586c7aade7c49057bf177a2264d55b93af920e5b6023074581c3c","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-1105a","next":"us-ok/okla.-stat.-tit.-54-54-500-1107a"},"notice":"GroundRules: Original legal text.
