Stat. tit. 54, § 54-500-1110A","heading":"Restrictions on approval of conversions and mergers","body":"and on relinquishing LLP Status.\n\nRESTRICTIONS ON APPROVAL OF CONVERSIONS AND MERGERS AND ON\n\nRELINQUISHING LLLP STATUS.\n\n(a) If a partner of a converting or constituent limited\n\npartnership will have personal liability with respect to a converted\n\nor surviving organization, approval and amendment of a plan of\n\nconversion or merger are ineffective without the consent of the\n\npartner, unless:\n\n(1) the limited partnership’s partnership agreement provides\n\nfor the approval of the conversion or merger with the consent of\n\nfewer than all the partners; and\n\n(2) the partner has consented to the provision of the\n\npartnership agreement.\n\n(b) An amendment to a certificate of limited partnership which\n\ndeletes a statement that the limited partnership is a limited\n\nliability limited partnership is ineffective without the consent of\n\neach general partner unless:\n\n(1) the limited partnership’s partnership agreement provides\n\nfor the amendment with the consent of less than all the general\n\npartners; and\n\n(2) each general partner that does not consent to the amendment\n\nhas consented to the provision of the partnership agreement.\n\n(c) A partner does not give the consent required by subsection\n\n(a) or (b) of this section merely by consenting to a provision of\n\nthe partnership agreement which permits the partnership agreement to\n\nbe amended with the consent of fewer than all the partners.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"cd3c73cb035316fb7c91d50ca188fd296d5d87b45fc6617cc3b027c24f5b06e1","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-110a","next":"us-ok/okla.-stat.-tit.-54-54-500-1111a"},"notice":"GroundRules: Original legal text.
