Stat. tit. 54, § 54-500-111A","heading":"Required information","body":"REQUIRED INFORMATION.\n\nA limited partnership shall maintain at its designated office\n\nthe following information:\n\n(1) a current list showing the full name and last-known street\n\nand mailing address of each partner, separately identifying the\n\ngeneral partners, in alphabetical order, and the limited partners,\n\nin alphabetical order;\n\n(2) a copy of the initial certificate of limited partnership\n\nand all amendments to and restatements of the certificate, together\n\nwith signed copies of any powers of attorney under which any\n\ncertificate, amendment, or restatement has been signed;\n\n(3) a copy of any filed articles of conversion or merger;\n\n(4) a copy of the limited partnership’s federal, state, and\n\nlocal income tax returns and reports, if any, for the three (3) most\n\nrecent years;\n\n(5) a copy of any partnership agreement made in a record and\n\nany amendment made in a record to any partnership agreement;\n\n(6) a copy of any financial statement of the limited\n\npartnership for the three (3) most recent years;\n\n(7) a copy of the three most recent annual certificates\n\ndelivered by the limited partnership to the Secretary of State\n\npursuant to Section 28 of this act;\n\n(8) a copy of any record made by the limited partnership during\n\nthe past three (3) years of any consent given by or vote taken of\n\nany partner pursuant to the Uniform Limited Partnership Act of 2010\n\nor the partnership agreement; and\n\n(9) unless contained in a partnership agreement made in a\n\nrecord, a record stating:\n\n(A) the amount of cash, and a description and statement of\n\nthe agreed value of the other benefits, contributed\n\nand agreed to be contributed by each partner;\n\n(B) the times at which, or events on the happening of\n\nwhich, any additional contributions agreed to be made\n\nby each partner are to be made;\n\n(C) for any person that is both a general partner and a\n\nlimited partner, a specification of what transferable\n\ninterest the person owns in each capacity; and\n\n(D) any events upon the happening of which the limited\n\npartnership is to be dissolved and its activities\n\nwound up.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"fc3202412ca7971e536aed107e1249ba2b16c8ca26c18baeb3711fd0dc831ece","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-1113a","next":"us-ok/okla.-stat.-tit.-54-54-500-112a"},"notice":"GroundRules: Original legal text.
