Stat. tit. 54, § 54-500-201A","heading":"Formation of limited partnership - Certificate of","body":"limited partnership.\n\nFORMATION OF LIMITED PARTNERSHIP; CERTIFICATE OF LIMITED\n\nPARTNERSHIP.\n\n(a) In order for a limited partnership to be formed, a\n\ncertificate of limited partnership must be delivered to the\n\nSecretary of State for filing. The certificate must state:\n\n(1) the name of the limited partnership, which must comply with\n\nSection 8 of this act;\n\n(2) the street and mailing address of the initial designated\n\noffice and the name and street and mailing address of the initial\n\nagent for service of process;\n\n(3) the name and the street and mailing address of each general\n\npartner;\n\n(4) whether the limited partnership is a limited liability\n\nlimited partnership;\n\n(5) the term of its duration if the duration is not to be\n\nperpetual; and\n\n(6) any additional information required by Article 11 of this\n\nact.\n\n(b) A certificate of limited partnership may also contain any\n\nother matters but may not vary or otherwise affect the provisions\n\nspecified in subsection (b) of Section 10 of this act in a manner\n\ninconsistent with that section.\n\n(c) If there has been substantial compliance with subsection\n\n(a) of this section, subject to subsection (c) of Section 24 of this\n\nact, a limited partnership is formed when the Secretary of State\n\nfiles the certificate of limited partnership.\n\n(d) Subject to subsection (b) of this section, if any provision\n\nof a partnership agreement is inconsistent with the filed\n\ncertificate of limited partnership or with a filed statement of\n\ndissociation, cessation, or change or filed articles of conversion\n\nor merger:\n\n(1) the partnership agreement prevails as to partners and\n\ntransferees; and\n\n(2) the filed certificate of limited partnership, statement of\n\ndissociation, cessation, or change or articles of conversion or\n\nmerger prevail as to persons, other than partners and transferees,\n\nthat reasonably rely on the filed record to their detriment.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"d2125aeb71225bc016cf995c51e0904690fe5973c8e75d6870134d00714858f2","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-1207a","next":"us-ok/okla.-stat.-tit.-54-54-500-202a"},"notice":"GroundRules: Original legal text.
