Stat. tit. 54, § 54-500-202A","heading":"Amendment or restatement of certificate","body":"AMENDMENT OR RESTATEMENT OF CERTIFICATE.\n\n(a) In order to amend its certificate of limited partnership, a\n\nlimited partnership must deliver to the Secretary of State for\n\nfiling an amendment or, pursuant to Article 11 of this act, articles\n\nof merger stating:\n\n(1) the name of the limited partnership;\n\n(2) the date of filing of its initial certificate; and\n\n(3) the changes the amendment makes to the certificate as most\n\nrecently amended or restated.\n\n(b) A limited partnership shall promptly deliver to the\n\nSecretary of State for filing an amendment to a certificate of\n\nlimited partnership to reflect:\n\n(1) the admission of a new general partner;\n\n(2) the dissociation of a person as a general partner; or\n\n(3) the appointment of a person to wind up the limited\n\npartnership’s activities under subsection (c) or (d) of Section 65\n\nof this act.\n\n(c) A general partner that knows that any information in a\n\nfiled certificate of limited partnership was false when the\n\ncertificate was filed or has become false due to changed\n\ncircumstances shall promptly:\n\n(1) cause the certificate to be amended; or\n\n(2) if appropriate, deliver to the Secretary of State for\n\nfiling a statement of change pursuant to Section 15 of this act or a\n\nstatement of correction pursuant to Section 25 of this act.\n\n(d) A certificate of limited partnership may be amended at any\n\ntime for any other proper purpose as determined by the limited\n\npartnership.\n\n(e) A restated certificate of limited partnership may be\n\ndelivered to the Secretary of State for filing in the same manner as\n\nan amendment. A certificate of limited partnership may be amended\n\nand restated in the same instrument and incurs the same fee as an\n\namended or restated certificate.\n\n(f) A restated certificate reflects the limited partnership’s\n\ncertificate of limited partnership, as amended.\n\n(g) Subject to subsection (c) of Section 24 of this act, an\n\namendment or restated certificate is effective when filed by the\n\nSecretary of State.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"70cba1b1cbdd819493bf417c3f2984d0cd41de340d9616d6a9da523afda4496d","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-201a","next":"us-ok/okla.-stat.-tit.-54-54-500-203a"},"notice":"GroundRules: Original legal text.
