Stat. tit. 54, § 54-500-206A","heading":"Delivery to and filing of records by Secretary of","body":"State - Effective time and date - Fees.\n\nDELIVERY TO AND FILING OF RECORDS BY SECRETARY OF STATE;\n\nEFFECTIVE TIME AND DATE; FEES.\n\n(a) A record authorized or required to be delivered to the\n\nSecretary of State for filing under the Uniform Limited Partnership\n\nAct of 2010 must be captioned to describe the record’s purpose, be\n\nin a medium permitted by the Secretary of State, and be delivered to\n\nthe Secretary of State. Unless the Secretary of State determines\n\nthat a record does not comply with the filing requirements of the\n\nUniform Limited Partnership Act of 2010, and if all filing fees have\n\nbeen paid, the Secretary of State shall file the record and provide\n\na filed stamped copy of the record to the person filing the record\n\nor the person’s representative.\n\n(b) Except as otherwise provided in Sections 16 and 25 of this\n\nact, a record delivered to the Secretary of State for filing under\n\nthe Uniform Limited Partnership Act of 2010 may specify an effective\n\ntime and a delayed effective date. Except as otherwise provided in\n\nthe Uniform Limited Partnership Act of 2010, a record filed by the\n\nSecretary of State is effective:\n\n(1) if the record does not specify an effective time and does\n\nnot specify a delayed effective date, on the date and at the time\n\nthe record is filed as evidenced by the Secretary of State’s\n\nendorsement of the date and time on the record;\n\n(2) if the record specifies an effective time but not a delayed\n\neffective date, on the date the record is filed at the time\n\nspecified in the record;\n\n(3) if the record specifies a delayed effective date but not an\n\neffective time, at 12:01 a.m. on the earlier of:\n\n(A) the specified date; or\n\n(B) the ninetieth day after the record is filed; or\n\n(4) if the record specifies an effective time and a delayed\n\neffective date, at the specified time on the earlier of:\n\n(A) the specified date; or\n\n(B) the ninetieth day after the record is filed.\n\n(c) The following fees shall be paid to the Secretary of State:\n\n(1) for filing a certificate of limited partnership, a fee of\n\nOne Hundred Dollars ($100.00);\n\n(2) for filing an amendment to a certificate of limited\n\npartnership or a statement of cessation, a fee of Fifty Dollars\n\n($50.00);\n\n(3) for filing articles of merger or conversion, a fee of One\n\nHundred Dollars ($100.00);\n\n(4) for filing a statement of change of a designated office,\n\nagent for service of process, or the address of an agent for service\n\nof process or a statement of resignation of registered agent, a fee\n\nof Twenty-five Dollars ($25.00);\n\n(5) for filing a name reservation or notice of transfer, a fee\n\nof Ten Dollars ($10.00);\n\n(6) for filing an application for certificate of authority, a\n\nfee of Three Hundred Dollars ($300.00);\n\n(7) for filing an amendment to or notice of cancellation of a\n\ncertificate of authority, a fee of One Hundred Dollars ($100.00);\n\n(8) for filing an annual certificate, a fee of Fifty Dollars\n\n($50.00);\n\n(9) for issuing certificates of good standing, a fee of Twenty\n\nDollars ($20.00);\n\n(10) for acting as registered agent, a fee of One Hundred\n\nDollars ($100.00) which is payable on July 1 of each year to the\n\nSecretary of State for deposit into the General Revenue Fund of the\n\nState Treasury; and\n\n(11) for filing of any other certificate, statement, notice or\n\nother document for which a fee is not otherwise specified under the\n\nUniform Limited Partnership Act of 2010, a fee of Fifty Dollars\n\n($50.00).","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"e154959cc238345d691a0c9f49225b1510c7f3bd1053b03cd1cdec6b82992a57","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-205a","next":"us-ok/okla.-stat.-tit.-54-54-500-207a"},"notice":"GroundRules: Original legal text.
