Stat. tit. 54, § 54-500-209A","heading":"Certificate of good standing","body":"CERTIFICATE OF GOOD STANDING.\n\n(a) If the conditions set forth in this subsection are met,\n\nupon request and payment of the requisite fee, the Secretary of\n\nState shall issue a certificate of good standing for a limited\n\npartnership stating the limited partnership’s name and the date of\n\nits formation in this state and affirming that the limited\n\npartnership is in good standing. A certificate of good standing\n\nshall issue only if:\n\n(1) all fees, taxes, and penalties due to the Secretary of\n\nState under the Uniform Limited Partnership Act of 2010 or other law\n\nhave been paid;\n\n(2) the limited partnership’s most recent annual certificate\n\nrequired by Section 28 of this act has been filed by the Secretary\n\nof State;\n\n(3) the limited partnership’s certificate of limited\n\npartnership has not been amended to state that the limited\n\npartnership is dissolved; and\n\n(4) a statement of cessation has not been filed by the\n\nSecretary of State.\n\n(b) If the conditions set forth in this subsection are met,\n\nupon request and payment of the requisite fee, the Secretary of\n\nState shall issue a certificate of good standing for a foreign\n\nlimited partnership stating the foreign limited partnership’s name,\n\nor any fictitious name adopted under subsection (a) of Section 79 of\n\nthis act for use in this state, and the date of its qualification in\n\nthis state and affirming that the foreign limited partnership is in\n\ngood standing and authorized to transact business in this state. A\n\ncertificate of good standing shall issue only if:\n\n(1) all fees, taxes, and penalties due to the Secretary of\n\nState under the Uniform Limited Partnership Act of 2010 or other law\n\nhave been paid;\n\n(2) the foreign limited partnership’s most recent annual\n\ncertificate required by Section 28 of this act has been filed by the\n\nSecretary of State; and\n\n(3) the Secretary of State has not revoked its certificate of\n\nauthority.\n\n(c) A certificate of good standing issued by the Secretary of\n\nState may be relied upon as conclusive evidence that the limited\n\npartnership or foreign limited partnership is in existence or is\n\nauthorized to transact business in this state.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"3748dc51773ac8c8b45ed0ade7883897d36e0a6084bc3929744f24ed5e20b29d","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-208a","next":"us-ok/okla.-stat.-tit.-54-54-500-210a"},"notice":"GroundRules: Original legal text.
