Stat. tit. 54, § 54-500-304A","heading":"Right of limited partner and former limited partner","body":"to information.\n\nRIGHT OF LIMITED PARTNER AND FORMER LIMITED PARTNER TO\n\nINFORMATION.\n\n(a) On ten (10) days’ demand, made in a record received by the\n\nlimited partnership, a limited partner may inspect and copy required\n\ninformation during regular business hours in the limited\n\npartnership’s designated office. The limited partner need not have\n\nany particular purpose for seeking the information.\n\n(b) During regular business hours and at a reasonable location\n\nspecified by the limited partnership, a limited partner may obtain\n\nfrom the limited partnership and inspect and copy true and full\n\ninformation regarding the state of the activities and financial\n\ncondition of the limited partnership and other information regarding\n\nthe activities of the limited partnership as is just and reasonable\n\nif:\n\n(1) the limited partner seeks the information for a purpose\n\nreasonably related to the partner’s interest as a limited partner;\n\n(2) the limited partner makes a demand in a record received by\n\nthe limited partnership, describing with reasonable particularity\n\nthe information sought and the purpose for seeking the information;\n\nand\n\n(3) the information sought is directly connected to the limited\n\npartner’s purpose.\n\n(c) Within ten (10) days after receiving a demand pursuant to\n\nsubsection (b) of this section, the limited partnership in a record\n\nshall inform the limited partner that made the demand:\n\n(1) what information the limited partnership will provide in\n\nresponse to the demand;\n\n(2) when and where the limited partnership will provide the\n\ninformation; and\n\n(3) if the limited partnership declines to provide any demanded\n\ninformation, the limited partnership’s reasons for declining.\n\n(d) Subject to subsection (f) of this section, a person\n\ndissociated as a limited partner may inspect and copy required\n\ninformation during regular business hours in the limited\n\npartnership’s designated office if:\n\n(1) the information pertains to the period during which the\n\nperson was a limited partner;\n\n(2) the person seeks the information in good faith; and\n\n(3) the person meets the requirements of subsection (b) of this\n\nsection.\n\n(e) The limited partnership shall respond to a demand made\n\npursuant to subsection (d) of this section in the same manner as\n\nprovided in subsection (c) of this section.\n\n(f) If a limited partner dies, Section 62 of this act applies.\n\n(g) The limited partnership may impose reasonable restrictions\n\non the use of information obtained under this section. In a dispute\n\nconcerning the reasonableness of a restriction under this\n\nsubsection, the limited partnership has the burden of proving\n\nreasonableness.\n\n(h) A limited partnership may charge a person that makes a\n\ndemand under this section reasonable costs of copying, limited to\n\nthe costs of labor and material.\n\n(i) Whenever the Uniform Limited Partnership Act of 2010 or a\n\npartnership agreement provides for a limited partner to give or\n\nwithhold consent to a matter, before the consent is given or\n\nwithheld, the limited partnership shall, without demand, provide the\n\nlimited partner with all information material to the limited\n\npartner’s decision that the limited partnership knows.\n\n(j) A limited partner or person dissociated as a limited\n\npartner may exercise the rights under this section through an\n\nattorney or other agent. Any restriction imposed under subsection\n\n(g) of this section or by the partnership agreement applies both to\n\nthe attorney or other agent and to the limited partner or person\n\ndissociated as a limited partner.\n\n(k) The rights stated in this section do not extend to a person\n\nas transferee, but may be exercised by the legal representative of\n\nan individual under legal disability who is a limited partner or\n\nperson dissociated as a limited partner.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"4a93007533e3c28aeb7faccc5e3212c2671e600f96dd40009360fa4a691cbae2","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-303a","next":"us-ok/okla.-stat.-tit.-54-54-500-305a"},"notice":"GroundRules: Original legal text.
