Stat. tit. 54, § 54-500-402A","heading":"General partner agent of limited partnership","body":"GENERAL PARTNER AGENT OF LIMITED PARTNERSHIP.\n\n(a) Each general partner is an agent of the limited partnership\n\nfor the purposes of its activities. An act of a general partner,\n\nincluding the signing of a record in the partnership’s name, for\n\napparently carrying on in the ordinary course the limited\n\npartnership’s activities or activities of the kind carried on by the\n\nlimited partnership binds the limited partnership, unless the\n\ngeneral partner did not have authority to act for the limited\n\npartnership in the particular matter and the person with which the\n\ngeneral partner was dealing knew, had received a notification, or\n\nhad notice under subsection (d) of Section 3 of this act that the\n\ngeneral partner lacked authority.\n\n(b) An act of a general partner which is not apparently for\n\ncarrying on in the ordinary course the limited partnership’s\n\nactivities or activities of the kind carried on by the limited\n\npartnership binds the limited partnership only if the act was\n\nactually authorized by all the other partners.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"156732bef0fd09a56a05ca6ea69c77364616a33a719495a43645577c7ec2b789","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-401a","next":"us-ok/okla.-stat.-tit.-54-54-500-403a"},"notice":"GroundRules: Original legal text.
