Stat. tit. 54, § 54-500-404A","heading":"General partner's liability","body":"GENERAL PARTNER’S LIABILITY.\n\n(a) Except as otherwise provided in subsections (b) and (c) of\n\nthis section, all general partners are liable jointly and severally\n\nfor all obligations of the limited partnership unless otherwise\n\nagreed by the claimant or provided by law.\n\n(b) A person that becomes a general partner of an existing\n\nlimited partnership is not personally liable for an obligation of a\n\nlimited partnership incurred before the person became a general\n\npartner.\n\n(c) An obligation of a limited partnership incurred while the\n\nlimited partnership is a limited liability limited partnership,\n\nwhether arising in contract, tort, or otherwise, is solely the\n\nobligation of the limited partnership. A general partner is not\n\npersonally liable, directly or indirectly, by way of contribution or\n\notherwise, for such an obligation solely by reason of being or\n\nacting as a general partner.
