Stat. tit. 54, § 54-500-405A","heading":"Actions by and against partnership and partners","body":"ACTIONS BY AND AGAINST PARTNERSHIP AND PARTNERS.\n\n(a) To the extent not inconsistent with Section 38 of this act,\n\na general partner may be joined in an action against the limited\n\npartnership or named in a separate action.\n\n(b) A judgment against a limited partnership is not by itself a\n\njudgment against a general partner. A judgment against a limited\n\npartnership may not be satisfied from a general partner’s assets\n\nunless there is also a judgment against the general partner.\n\n(c) A judgment creditor of a general partner may not levy\n\nexecution against the assets of the general partner to satisfy a\n\njudgment based on a claim against the limited partnership, unless\n\nthe partner is personally liable for the claim under Section 38 of\n\nthis act and:\n\n(1) a judgment based on the same claim has been obtained\n\nagainst the limited partnership and a writ of execution on the\n\njudgment has been returned unsatisfied in whole or in part;\n\n(2) the limited partnership is a debtor in bankruptcy;\n\n(3) the general partner has agreed that the creditor need not\n\nexhaust limited partnership assets;\n\n(4) a court grants permission to the judgment creditor to levy\n\nexecution against the assets of a general partner based on a finding\n\nthat limited partnership assets subject to execution are clearly\n\ninsufficient to satisfy the judgment, that exhaustion of limited\n\npartnership assets is excessively burdensome, or that the grant of\n\npermission is an appropriate exercise of the court’s equitable\n\npowers; or\n\n(5) liability is imposed on the general partner by law or\n\ncontract independent of the existence of the limited partnership.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"a711fb714796d19c5e1e321a550e8b40b78156cd0acf8e21bf5797dbeb32c3cd","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-404a","next":"us-ok/okla.-stat.-tit.-54-54-500-406a"},"notice":"GroundRules: Original legal text.
