Stat. tit. 54, § 54-500-407A","heading":"Right of general partner and former general partner","body":"to information.\n\nRIGHT OF GENERAL PARTNER AND FORMER GENERAL PARTNER TO\n\nINFORMATION.\n\n(a) A general partner, without having any particular purpose\n\nfor seeking the information, may inspect and copy during regular\n\nbusiness hours:\n\n(1) in the limited partnership’s designated office, required\n\ninformation; and\n\n(2) at a reasonable location specified by the limited\n\npartnership, any other records maintained by the limited partnership\n\nregarding the limited partnership’s activities and financial\n\ncondition.\n\n(b) Each general partner and the limited partnership shall\n\nfurnish to a general partner:\n\n(1) without demand, any information concerning the limited\n\npartnership’s activities and activities reasonably required for the\n\nproper exercise of the general partner’s rights and duties under the\n\npartnership agreement or the Uniform Limited Partnership Act of\n\n2010; and\n\n(2) on demand, any other information concerning the limited\n\npartnership’s activities, except to the extent the demand or the\n\ninformation demanded is unreasonable or otherwise improper under the\n\ncircumstances.\n\n(c) Subject to subsection (e) of this section, on ten (10)\n\ndays’ demand made in a record received by the limited partnership, a\n\nperson dissociated as a general partner may have access to the\n\ninformation and records described in subsection (a) of this section\n\nat the location specified in subsection (a) of this section if:\n\n(1) the information or record pertains to the period during\n\nwhich the person was a general partner;\n\n(2) the person seeks the information or record in good faith;\n\nand\n\n(3) the person satisfies the requirements imposed on a limited\n\npartner by subsection (b) of Section 32 of this act.\n\n(d) The limited partnership shall respond to a demand made\n\npursuant to subsection (c) of this section in the same manner as\n\nprovided in subsection (c) of Section 32 of this act.\n\n(e) If a general partner dies, Section 62 of this act applies.\n\n(f) The limited partnership may impose reasonable restrictions\n\non the use of information under this section. In any dispute\n\nconcerning the reasonableness of a restriction under this\n\nsubsection, the limited partnership has the burden of proving\n\nreasonableness.\n\n(g) A limited partnership may charge a person dissociated as a\n\ngeneral partner that makes a demand under this section reasonable\n\ncosts of copying, limited to the costs of labor and material.\n\n(h) A general partner or person dissociated as a general\n\npartner may exercise the rights under this section through an\n\nattorney or other agent. Any restriction imposed under subsection\n\n(f) of this section or by the partnership agreement applies both to\n\nthe attorney or other agent and to the general partner or person\n\ndissociated as a general partner.\n\n(i) The rights under this section do not extend to a person as\n\ntransferee, but the rights under subsection (c) of this section of a\n\nperson dissociated as a general partner may be exercised by the\n\nlegal representative of an individual who dissociated as a general\n\npartner under subparagraph (B) or (C) of paragraph (7) of Section 54\n\nof this act.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"86e4b4466b61122b61a1c73b61ab306fd7b2d8f9ecd1f3ae6331ad152c703b6c","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-406a","next":"us-ok/okla.-stat.-tit.-54-54-500-408a"},"notice":"GroundRules: Original legal text.
