Stat. tit. 54, § 54-500-509A","heading":"Liability for improper distributions","body":"LIABILITY FOR IMPROPER DISTRIBUTIONS.\n\n(a) A general partner that consents to a distribution made in\n\nviolation of Section 50 of this act is personally liable to the\n\nlimited partnership for the amount of the distribution which exceeds\n\nthe amount that could have been distributed without the violation if\n\nit is established that in consenting to the distribution the general\n\npartner failed to comply with Section 42 of this act.\n\n(b) A partner or transferee that received a distribution\n\nknowing that the distribution to that partner or transferee was made\n\nin violation of Section 50 of this act is personally liable to the\n\nlimited partnership but only to the extent that the distribution\n\nreceived by the partner or transferee exceeded the amount that could\n\nhave been properly paid under Section 50 of this act.\n\n(c) A general partner against which an action is commenced\n\nunder subsection (a) of this section may:\n\n(1) implead in the action any other person that is liable under\n\nsubsection (a) of this section and compel contribution from the\n\nperson; and\n\n(2) implead in the action any person that received a\n\ndistribution in violation of subsection (b) of this section and\n\ncompel contribution from the person in the amount the person\n\nreceived in violation of subsection (b) of this section.\n\n(d) An action under this section is barred if it is not\n\ncommenced within two (2) years after the distribution.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"e47166aa1cad6f54697d39a7183e7b05b4367d6a449717cf5ab8d6b1c3bfbcfc","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-508a","next":"us-ok/okla.-stat.-tit.-54-54-500-601a"},"notice":"GroundRules: Original legal text.
