Stat. tit. 54, § 54-500-604A","heading":"Person's power to dissociate as general partner -","body":"Wrongful dissociation.\n\nPERSON’S POWER TO DISSOCIATE AS GENERAL PARTNER; WRONGFUL\n\nDISSOCIATION.\n\n(a) A person has the power to dissociate as a general partner\n\nat any time, rightfully or wrongfully, by express will pursuant to\n\nparagraph (1) of Section 54 of this act.\n\n(b) A person’s dissociation as a general partner is wrongful\n\nonly if:\n\n(1) it is in breach of an express provision of the partnership\n\nagreement; or\n\n(2) it occurs before the cessation of the limited partnership,\n\nand:\n\n(A) the person withdraws as a general partner by express\n\nwill;\n\n(B) the person is expelled as a general partner by\n\njudicial determination under paragraph (5) of Section\n\n54 of this act;\n\n(C) the person is dissociated as a general partner by\n\nbecoming a debtor in bankruptcy; or\n\n(D) in the case of a person that is not an individual,\n\ntrust other than a business trust, or estate, the\n\nperson is expelled or otherwise dissociated as a\n\ngeneral partner because it willfully dissolved or\n\nterminated.\n\n(c) A person that wrongfully dissociates as a general partner\n\nis liable to the limited partnership and, subject to Section 83 of\n\nthis act, to the other partners for damages caused by the\n\ndissociation.
